This Service Agreement ("Agreement") sets out the legally binding terms and conditions governing the relationship between Styleot and its clients. It is designed to ensure clarity, protect the interests of both parties, and provide a professional framework for every project engagement. Please read this document carefully before proceeding with any service request or payment.


1. Introduction & Parties to This Agreement

This Service Agreement ("Agreement") is entered into between Styleot, a digital services business owned and operated by Mohamed Amine Elabisisi, headquartered in Morocco (hereinafter referred to as "Styleot", "we", "us", or "the Service Provider"), and the individual or legal entity engaging Styleot's services (hereinafter referred to as "Client", "you", or "your").

This Agreement comes into effect upon the Client's written or electronic acceptance of a project proposal, payment of the initial deposit, or any other clear indication of intent to proceed with a service engagement. It governs all aspects of the professional relationship between both parties for the duration of the project.

1.1 Purpose of This Agreement

  • Define the roles, responsibilities, and expectations of both parties clearly
  • Protect the legitimate commercial and creative interests of Styleot
  • Provide the Client with a transparent and fair framework for service delivery
  • Establish binding terms for payment, revisions, ownership, and dispute resolution
  • Serve as the primary reference document for all project-related decisions

2. Services Overview

Styleot is a full-service digital agency offering customised, professional-grade solutions across the following core disciplines:

  • Graphic & Visual Design: Logo creation, brand identity systems, marketing collateral, social media visuals, print and digital assets.
  • Brand Strategy & Identity: Brand naming, visual guidelines, tone of voice, brand positioning, and comprehensive brand system development.
  • Digital Marketing: Social media management, content strategy, campaign planning, copywriting, and performance-driven online marketing.
  • Web Development & Solutions: Website design, WordPress development, landing page creation, UX optimisation, and technical web solutions.
  • Creative Consultancy: Strategic advisory on design direction, digital presence, brand communication, and market positioning.

All services are delivered on a bespoke, project-by-project basis. No automated subscription or off-the-shelf service is offered. Each engagement is tailored to the specific objectives and requirements of the Client.

3. Scope of Work

The scope of work for each project is defined, documented, and agreed upon in writing prior to the commencement of any billable activity. The project scope constitutes the binding specification of all deliverables, features, and services to be provided.

3.1 Scope Definition

The agreed scope will typically include:

  • A clear description of deliverables and expected outputs
  • The format, quantity, and specifications of all files or assets to be delivered
  • The number of revision rounds included in the agreed fee
  • Any specific tools, platforms, or third-party services required
  • The agreed delivery timeline and key milestones

3.2 Out-of-Scope Work

Important: Any work requested by the Client that falls outside the originally agreed scope — including additional deliverables, new concepts, platform migrations, or material changes in direction — will be treated as a scope amendment and may require a separate quotation, agreement, and payment before execution.

Styleot will notify the Client promptly if a request constitutes out-of-scope work and will provide a revised estimate before proceeding. No out-of-scope work will be undertaken without explicit written authorisation from the Client.

4. Payment Terms

4.1 Payment Structure

All projects operate under a two-stage payment structure. No work will commence until the initial deposit has been received and confirmed:

  • Initial Deposit — 20% of agreed fee — Before work commences — Non-refundable
  • Final Balance — Remaining 80% — Upon project completion — Non-refundable

4.2 Custom Pricing

All fees are determined on a per-project basis, taking into account the complexity, scope, timeline, and specific deliverables of each engagement. Pricing is communicated in writing via a formal proposal or quotation prior to any payment being requested.

4.3 Additional Costs

Where a project requires third-party tools, software licences, hosting services, domain registrations, stock assets, or other external resources, these costs will be identified, itemised, and approved by the Client in advance. Styleot will not incur such costs on behalf of the Client without prior written consent.

4.4 Accepted Payment Methods

  • PayPal
  • Payoneer
  • Credit / Debit Cards (via authorised payment gateways)
  • Cryptocurrencies (terms to be confirmed before acceptance)

4.5 Late Payment

Final deliverables, source files, and all project assets will be withheld until the full outstanding balance has been received and cleared. Persistent non-payment may result in suspension of all work and potential legal action to recover outstanding amounts.

5. Project Timeline & Delivery

Project timelines are established collaboratively and confirmed in writing before work commences. Timelines reflect a realistic assessment of the project complexity, revision rounds, and the Client's responsiveness throughout the engagement.

5.1 Timeline Responsibilities

Styleot is responsible for: timely project execution and progress updates at milestones. The Client is responsible for: providing content and assets on schedule, reviewing and approving work promptly. Both parties are responsible for: notifying each other of changes or concerns early.

5.2 Delays

Delays attributable to the Client — including late submission of required materials, delayed approvals, or prolonged feedback cycles — may result in corresponding extensions to the agreed delivery timeline. Styleot shall not be held liable for such delays, and no refund or compensation will be applicable in such instances.

6. Revisions and Modifications

Styleot is committed to delivering work that meets the Client's expectations. A structured revision process is provided as part of every project engagement to facilitate meaningful feedback and refinement within the agreed scope.

6.1 Included Revisions

The number of revision rounds included in the agreed fee is specified in the project proposal or brief. Revision rounds allow the Client to request adjustments, corrections, or refinements to the delivered work based on the original brief. The revision period ranges from a minimum of 7 days to a maximum of 2 months, as agreed per project.

  • Adjustments within original scope: Included in agreed revision rounds.
  • New creative concepts or directions: Not included — treated as new scope with additional fee.
  • Fundamental brief changes: Not included — requires new proposal and agreement.
  • Additional revisions beyond agreed rounds: Not included — subject to additional fees.

7. Client Responsibilities

A successful project outcome requires active and timely participation from the Client. By entering into this Agreement, the Client accepts the following obligations for the duration of the project engagement:

  • Provide all required information, materials, brand assets, and content in a complete, accurate, and timely manner.
  • Ensure that all content, images, and intellectual property supplied to Styleot are legally owned or licensed for commercial use by the Client.
  • Review and respond to submissions, proofs, and milestone deliveries within the timeframes agreed in the project brief.
  • Designate a single authorised point of contact to provide clear and consistent direction, avoiding conflicting feedback.
  • Communicate any concerns, changes in requirements, or dissatisfaction promptly and in writing.
  • Meet all payment obligations on the dates and in the amounts agreed in this Agreement.
  • Refrain from sharing confidential project materials, work-in-progress assets, or proprietary Styleot methodologies with third parties.

Failure to fulfil these responsibilities may result in project delays, suspension of work, or additional charges. Styleot accepts no liability for project outcomes affected by the Client's failure to meet these obligations.

8. Intellectual Property & Ownership Rights

Core Principle: Full ownership of all final project deliverables is transferred to the Client exclusively upon receipt of the complete and final payment. Until that point, all work — including drafts, concepts, and final files — remains the sole intellectual property of Styleot.

8.1 Client Ownership (Post Full Payment)

Upon settlement of the full agreed project fee, the Client receives full, exclusive ownership rights over the final deliverables as specified in the agreed project scope. This includes the right to use, modify, reproduce, and commercialise the delivered work without further reference to Styleot.

8.2 Styleot Reserved Rights

Notwithstanding the ownership transfer above, Styleot retains the following rights unless explicitly waived in writing:

  • The right to display and reference completed work in Styleot's portfolio, case studies, and promotional materials.
  • Full ownership of all preliminary concepts, unused designs, and exploratory work not included in the final deliverable.
  • The right to utilise general design techniques, methodologies, and creative approaches developed during the project.
  • Ownership of any stock imagery, third-party assets, or design resources sourced by Styleot unless exclusive licensing is separately agreed.

8.3 Third-Party Assets

Where licensed third-party assets (fonts, stock images, icons, software) are used in delivering a project, the Client is responsible for ensuring continued licensing compliance for any such assets after project delivery. Styleot will identify any such assets and their licensing terms as part of the project handover.

9. Cancellation Policy

9.1 Client-Initiated Cancellation

The Client may cancel a project at any time by providing written notice to Styleot. The following terms apply upon client-initiated cancellation:

  • Before work has commenced (deposit paid, no work started): Deposit is forfeited. No additional charges apply.
  • After work has commenced (any phase of the project): Deposit is forfeited. Work completed to date is billed pro-rata and must be settled.
  • After final delivery (work accepted or in revision): Full project fee is payable. No cancellation option available at this stage.

9.2 Styleot-Initiated Termination

Styleot reserves the right to terminate this Agreement and suspend all work with immediate effect if the Client: breaches any material term of this Agreement; engages in abusive, threatening, or unprofessional conduct; fails to make agreed payments within a reasonable timeframe; or requests work that conflicts with legal, ethical, or professional standards.

In such cases, Styleot will retain all fees received for work completed and will not be obligated to deliver any remaining project components.

10. Limitation of Liability

Legal Notice: To the maximum extent permitted by applicable Moroccan law, Styleot's total aggregate liability to the Client under or in connection with this Agreement shall not exceed the total fees paid by the Client for the specific project or service to which any claim directly relates.

Styleot shall not be liable for any of the following, regardless of whether such liability arises in contract, tort, negligence, or otherwise:

  • Loss of revenue, profits, anticipated savings, or business opportunities
  • Loss of data, client information, or digital assets
  • Reputational damage or loss of goodwill
  • Indirect, incidental, consequential, or punitive damages of any kind
  • Outcomes dependent on third-party platforms, tools, or services
  • Project results that do not meet subjective commercial expectations
  • Delays, disruptions, or failures caused by the Client's own actions or inactions
  • Force majeure events or circumstances beyond Styleot's reasonable control

11. Dispute Resolution

Both Styleot and the Client are committed to maintaining a professional and constructive relationship throughout every engagement. In the event of any disagreement, dispute, or concern arising from this Agreement or the services provided, both parties agree to the following resolution process:

  • Step 1 — Direct Communication: The party raising the concern contacts the other party in writing (email is acceptable) within 14 days of the issue arising, clearly describing the nature of the dispute and the desired resolution.
  • Step 2 — Good Faith Negotiation: Both parties agree to engage in good faith discussions for a period of up to 30 days following the initial notice, with the aim of reaching a mutually acceptable resolution without formal proceedings.
  • Step 3 — Formal Resolution: If direct negotiation fails to produce a satisfactory outcome within the agreed timeframe, either party may pursue formal resolution through the competent courts or arbitration under the applicable laws of Morocco.

Nothing in this clause prevents either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent imminent and irreparable harm.

12. Amendments to This Agreement

This Agreement may be amended, modified, or updated at any time by Styleot. Any changes to the standard terms will be communicated to the Client before a new project commences. For ongoing or active projects, any material amendments require the written consent of both parties before taking effect.

Project-specific amendments — such as changes to scope, fees, or timelines — must be agreed in writing and will form an addendum to this Agreement. Verbal agreements or informal communications do not constitute binding amendments unless subsequently confirmed in writing.

The most current version of this Agreement is always available upon request from Styleot and supersedes all prior versions for new project engagements.
